ClientBoards
Terms of Service
Rules and conditions for using ClientBoards.
Effective date:
1. Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of ClientBoards (the “Service”) operated by us. By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree, do not use the Service. Privacy Policy describes how we handle personal data.
2. Description of the service
ClientBoards provides tools to create and share client-facing project boards, including milestones, files, optional messaging, and related features. Features and limits depend on your subscription tier. We may modify, suspend, or discontinue features with reasonable notice where practicable, except for security or legal reasons.
3. Accounts and eligibility
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use. You must be at least the age of digital consent in your jurisdiction to use the Service.
4. Your content and client end users
You retain ownership of content you upload (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, display, and transmit Customer Content solely to provide and improve the Service, including sharing boards with recipients you designate (e.g. via links, passwords, or invitations you configure).
You are responsible for obtaining rights and consents for Customer Content and for your relationship with your clients and end users, including any privacy notices or agreements they require. You must not use the Service to process data in violation of law or these Terms.
5. Acceptable use
You agree not to:
- Violate applicable laws or third-party rights, including intellectual property and privacy;
- Upload malware, attempt unauthorized access, or disrupt the Service;
- Send spam, phishing, or deceptive communications through the Service;
- Use the Service to build a competing product by scraping or automated extraction beyond permitted API or export features;
- Reverse engineer the Service except where applicable law prohibits this restriction;
- Use the Service in ways that impose an unreasonable load on our systems without prior agreement.
We may suspend or terminate access for violations or suspected abuse.
6. Fees, billing, and taxes
Paid plans are billed through our payment processor (e.g. Stripe). Fees are as shown at checkout or in your billing settings. Subscriptions renew until cancelled in accordance with the billing portal or instructions we provide. Taxes may apply based on your location.
Except where required by law, fees are non-refundable. Downgrades may take effect at the next billing cycle and may affect feature limits.
7. Optional AI features
Where offered, AI-assisted features may process prompts and context you provide to generate suggestions or content. Output may be inaccurate; you are responsible for reviewing use in your workflow. AI features may rely on third-party model providers under their terms and our subprocessors list.
8. Our intellectual property
The Service, including software, branding, and documentation (excluding Customer Content), is owned by us and our licensors. These Terms do not grant you ownership of any intellectual property rights in the Service beyond the limited right to use it as permitted here.
9. Feedback
If you provide feedback or suggestions, we may use them without obligation or compensation to you.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.
12. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates, officers, and employees from claims, damages, and costs (including reasonable attorneys’ fees) arising from Customer Content, your use of the Service in violation of these Terms, or your relationship with your clients or end users, except to the extent caused by our gross negligence or willful misconduct.
13. Termination
You may stop using the Service and cancel paid subscriptions through the billing tools we provide. We may suspend or terminate access for breach, risk, non-payment, or legal requirements. Upon termination, your right to use the Service ceases. We may delete data in accordance with our Privacy Policy and retention practices. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. You agree that courts located in Delaware have exclusive jurisdiction for disputes, except that either party may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. General
These Terms constitute the entire agreement regarding the Service and supersede prior understandings. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Notices may be given by email or in-product messaging.
